TERMS AND CONDITIONS OF USE

These Terms and Conditions (“Terms”) govern your access to and use of the Eggsense Lite mobile application and any related software, analytics, content, and services (collectively, the “Service”), provided by Eggbase Ltd, a company incorporated in the United Kingdom with its registered office at The Old Kennels, Keepers, Cowgill, Sedbergh, Cumbria LA10 5RN, UK (“Company”, “we”, “us”, or “our”).
These Terms apply globally. If you access the Service from outside the United Kingdom, you are responsible for compliance with local laws and regulations.
By downloading, accessing, or using the Service, you agree to be legally bound by these Terms. If you do not agree, you must not use the Service.
1. Purpose and Intended Use
The Service is a subscription-based software-as-a-service (SaaS) platform designed to support egg and poultry producers, including independent producers and commercial integrators, with data recording and flock performance monitoring.
The Service provides decision-support tools only and does not replace professional veterinary, nutritional, regulatory, or operational advice.
2. Eligibility and Authority
You confirm that:
• You are at least 18 years of age;
• You have authority to bind yourself or the business entity you represent;
• You will use the Service in compliance with all applicable animal welfare, biosecurity, food safety, and data protection laws.
3. Accounts and Access
When you subscribe, we will create an account for you to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account.
4. Subscriptions and Billing
4.1 Subscription Model
The Service is provided on an annual, auto-renewing subscription basis unless otherwise stated at purchase.
4.2 Billing Platform
Subscriptions must be purchased through the Stripe Payment Gateway and are subject to that platform’s billing terms.
4.3 Renewal and Cancellation
Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current term.
4.4 Refunds
Payments are non-refundable except where required by law.
5. Licence and Acceptable Use
5.1 Licence Grant
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal poultry production operations.
5.2 Prohibited Uses
You must not:
- Reverse engineer or copy the Service;
- Provide access to unauthorised third parties;
- Use the Service to provide services to third parties without written consent;
- Use the Service unlawfully or misleadingly.
6. Data Ownership and Use
6.1 User Data Ownership
You retain ownership of all flock, production, and operational data entered into the Service (“User Data”).
6.2 Licence to Process
You grant us a worldwide licence to host and process User Data.
6.3 Aggregated and Benchmark Data
We may use anonymised and aggregated data derived from User Data for benchmarking, research, and analytics, provided no individual producer or operation can be identified.
7. Data Accuracy and Decision Responsibility
Outputs depend on the accuracy and completeness of User Data. You acknowledge that production outcomes depend on factors beyond the Service and that you retain sole responsibility for management decisions.
8. No Professional Advice
The Service does not provide veterinary, medical, nutritional, or regulatory advice. You should consult qualified professionals before acting on information generated by the Service.
9. Availability and Support
We aim to provide commercially reasonable availability but do not guarantee uninterrupted access.
10. Intellectual Property
All intellectual property rights in the Service remain with the Company or its licensors. No rights are granted except as expressly stated.
11. Confidentiality
Each party shall protect confidential, non-public information obtained through use of the Service.
12. Suspension and Termination
We may suspend or terminate access for breach of these Terms, non-payment, or risk to the Service or other users.
13. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, including fitness for a particular purpose and accuracy.
14. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect or consequential losses, including loss of production, livestock performance, or profits. Our total liability shall not exceed the fees paid in the 12 months preceding the claim.
15. Indemnity
You agree to indemnify us against claims arising from your use of the Service, User Data, or breach of these Terms.
16. Governing Law
These Terms are governed by the laws of England and Wales. Courts of England and Wales shall have exclusive jurisdiction, subject to mandatory local consumer laws.
17. Changes
We may update these Terms from time to time. Continued use constitutes acceptance of updated Terms.
